This is a Schedule to the General Terms of zFast Limited. This Schedule applies to the Hosting Services and Reseller Hosting Services defined below, and as stipulated in an Order.
Unless the context otherwise requires, the definitions used in the General Terms apply to this Schedule. Any other terms defined in this Schedule have that meaning for this Schedule only.
In this Schedule, the following terms shall have the following meanings:
| "Hosting Services" | the hosting services that we provide to our customers that have entered into a relevant agreement with us, the specification of which is as listed and updated on the Website from time to time (and which may include the those services categorised and grouped as belonging to "Web Hosting" services or "WordPress Hosting" services); |
| "Hosting Services Fees" | the fees payable to us by you for our provision to you of the Hosting Services; |
| "PCI-DSS" | this means the Payment Card Industry Data Security Standard as defined by the PCI Security Standards Council. |
| "Reseller Hosting Services" | the hosting services that we provide to our customers with permission for those customers to sell those hosting services to third parties as a reseller, the specification of which is as listed and updated on the Website from time to time (and which may include the those services categorised and grouped as belonging to "Reseller Hosting" services or "Agency Hosting" services); and |
| "Reseller Hosting Services Fees" | the fees payable to us by you for our provision to you of the Reseller Hosting Services. |
2.1 Free domain name: We provide one free .uk or .co.uk domain name with every Agreement for Hosting Services for a period of 12 months from the date of the relevant Order Acceptance; if you would like a domain name that is not .uk or .co.uk (such as .biz), you will be responsible for any payable registration fees. If you already have a host but want to benefit from our platform, you can ask us to migrate your domain and website to our platform. You can add an unlimited number of domains to the same Agreement for Hosting Services at any time, either by transferring your domains to us, creating new domains, or just pointing your DNS to our name servers.
2.2 Domain name registration period: Domain names registered under the Hosting Services will be registered for a period of 12 months unless we inform you otherwise.
2.3 Costs in respect of domain names: Where we provide a domain name to you free of charge in accordance with Paragraph 2.1, if you terminate the Hosting Services to which that free domain name relates within the initial registration period of the domain, you will be responsible to pay to us the registration fee that you would have paid to us for that domain name if we had not provided it to you free of charge, where such fees are listed on the Website and updated from time to time. To the extent that we are due to refund any Fees to you following a cancellation in such circumstances, we reserve the right to deduct the registration fee for that domain name from any refund, and in any event to require full payment of such fees to us prior to us releasing or migrating the domain name to a third party host.
2.4 Domain Registration Services Schedule: Paragraph 2.1, 2.2 and 2.3 is subject to the Domain Registration Services Schedule.
2.5 PCI-DSS compliance: Where we undertake to provide the Hosting Services as being compliant with PCI-DSS ("PCI-DSS Compliant") such undertaking does not extend to any Material hosted on a server as part of the Hosting Services (such as, but not limited to, an individual website or other application or the configuration settings used by that website or application) and is strictly limited in scope to the Service provided as standard as part of the Hosting Service without any Material. We do not provide a warranty that the Hosting Services are PCI-DSS Compliant at any singular point in time but that we will use our reasonable skill and efforts to ensure the elements in scope to be PCI-DSS Compliant and that we frequently review such compliance. You acknowledge that PCI-DSS Compliance requirements are constantly changing and a server that is compliant at a certain point in time may become non-compliant as requirements change unless further testing and improvement is undertaken. You acknowledge that we are reliant on third-party software to provide the Hosting Services and may need such third-party software to be updated for the Hosting Services to be PCI-DSS Compliant (such as, but not limited to, a security vulnerability in a mail or web server requiring action from the operating system vendor) and that such is outside of our control. If you believe that the Hosting Services are not PCI-DSS Compliant, when we have otherwise indicated that they should be do, then you may raise the issue by using support ticketing system available through your Account.
2.6 Migration Services: Where we provide a Migration Service in respect of the Hosting Services to facilitate you transferring your Material to our platform, then:
2.6.1 we will use our reasonable efforts to assist in the transfer of your Material from a remote host, however you recognise that you may be expected to assist in any such undertaking as may be considered, at our sole discretion, to be necessary;
2.6.2 we will not be under any obligation or expectation to amend your Material for it to function with our Services or platform;
2.6.3 the nature of any Material to be transferred must comply with our Terms and Conditions;
2.6.4 the total size of any Material to be transferred must be within the resources (for example disk space) provided as part of the Hosting Services;
2.6.5 any request to use the Migration Service must be made within 10 Business Days of an Order Acceptance for the Hosting Service; and
2.6.6 any works involving a transfer of Material as part of a Migration Service is limited to 20 Business Days from the point where we inform you that the works have begun.
2.7 Email mailboxes as part of the Hosting Services: Where we provide email mailboxes as part of the Hosting Services, then:
2.7.1 the maximum disk usage of an individual email mailbox (comprising the primary email address account along with any applicable aliases or email forwards) is limited to 10 (ten) gigabytes (GB) of disk space when uncompressed, and this limit is inclusive of any other resource limitations concerning your Hosting Services (for example, if your maximum disk usage for a Hosting Service package was 5 GB then the total of all Material (including all mailboxes) associated with that Hosting Service would be limited to a maximum of 5 GB);
2.7.2 the maximum age of any message stored in an email account is limited to 3 years as defined by the RFC-2822 date field in the email header;
2.7.3 if 2.7.1 or 2.7.2 are exceeded or are otherwise non-compliant, then we reserve the right to contact you requiring that you either:
(a) to bring the relevant mailbox into compliance; or
(b) purchase an additional email disk storage package which satisfies the disk space resource requirements of the mailbox; or
(c) you move the relevant mailbox to an email hosting package designed for mass storage, which as may be provided by us or a third-party;
and that any corrective actions in respect to this Clause are completed within 10 Business Days from the point that we contact you. Failure to comply within this period may lead to a disk quota being applied to the Hosting Services to stop further growth or the Hosting Services may be suspended.
2.8 Email traffic and deliverability: Where the Services allocate any email account to you, we do not warrant that any email sent to that email account will be received by you nor that any email sent by you from that account will be delivered to any intended recipient. You acknowledge that we use incoming and outgoing email "spam" filtering for security purposes and such filtering may, in some cases, prevent email from being received by or sent from such email account. There is no facility to disable such filtering, and the thresholds of such are entirely at our discretion.
2.9 Retention of suspended or expired accounts: It is expected that you will remove any data on our servers which is no longer required. However, we reserve the right to remove hosting accounts belonging to you, and all associated data, on our web servers that have been suspended in excess of 30 days or which may reasonably be considered to be expired (for example, in the case of Reseller Hosting, hosting accounts sold to third parties which may have been suspended due to a failure of payment, or hosting accounts which have not been terminated but where the third party has moved to another web hosting service).
3.1 The Hosting Services Fees: The Hosting Services Fees are as set out on the Website at the time that you submit your Order, subject to Clause 10.3.
3.2 Payment: All payments of the Hosting Services Fees shall be made by you in accordance with the General Terms unless expressly agreed between the Parties in writing.
3.3 Refund: If you are not completely happy with our provision of the Hosting Services within the first 30 days of the Order Acceptance, then you can cancel this Agreement and we will refund in full any Hosting Services Fees that you have paid to us.
4.1 The Reseller Hosting Services Fees: The Reseller Hosting Services Fees are as set out on the Website at the time that you submit your Order, subject to Clause 10.3.
4.2 Refund: If you are not completely happy with our provision of the Reseller Hosting Services within the first 30 days of the Order Acceptance, then you can cancel this Agreement and we will refund in full any Reseller Hosting Services Fees that you have paid to us.
5.1 Term of this Schedule: This Schedule shall commence on the date of the relevant Order Acceptance and shall continue in full force and effect until terminated in accordance with the General Terms.
